VoraTill Terms of Service
Draft. Effective {{EFFECTIVE_DATE}}.
These terms are an agreement between {{COMPANY_NAME}} (company number {{COMPANY_NUMBER}}, {{COMPANY_ADDRESS}}) ("VoraTill", "we", "us") and the business that uses VoraTill ("you", "the shop"). By creating a shop or using the app, you accept these terms on behalf of that business, and you confirm you are allowed to do so.
VoraTill is for businesses. It is not offered to consumers.
1. What VoraTill is
VoraTill is point-of-sale software. It runs on your own devices and, with a Cloud subscription, keeps your shop's data in sync across devices through our servers. It covers selling, receipts, products and stock, customers, staff, shifts and reports, and it can connect to card payment providers and to printers, scales and other hardware.
2. Your account
- You are responsible for everything done under your shop: by you, your staff, and anyone using your devices or PINs.
- Keep owner sign-in details and staff PINs private. Tell us at once at {{SUPPORT_EMAIL}} if you think someone has accessed your shop without permission.
- The owner email must be one you control. We use it to recover your account and to contact you about your subscription.
3. Card payments and other providers
- Card payments are processed by the provider you choose and connect, such as Stripe, SumUp, Square or PayPal. Your contract for card processing is with that provider, not with us. Their fees, rules, payouts, disputes and chargebacks are between you and them.
- VoraTill passes payment requests between the app and your provider. We never see or store full card numbers.
- If a provider changes its service or becomes unavailable, card payments through it may stop working. Always have another way to take payment.
4. Taxes, receipts and fiscal rules: your responsibility
- You are responsible for your own tax compliance: charging the right rates, registering, filing and paying tax, and keeping records for as long as your law requires.
- VoraTill provides tools such as tax rates, tax-inclusive or tax-exclusive pricing, receipts and tax summaries. Default rates and country settings are a starting point only and may be out of date or incomplete. Check them against your own country's rules.
- VoraTill is not a certified or fiscal cash register in any country unless we say so in writing for that specific country. Some countries require certified tills, fiscal printers, or reporting to the tax authority (for example Germany, France, Italy, Austria, Poland, Portugal, Hungary and others). The app shows a warning where we know this applies, and blocks new sign-ups in countries where it can't legally be used yet. It is your responsibility to make sure you are allowed to use VoraTill where you trade.
5. Trial, subscription and payment
- New shops get a free trial (currently 14 days). After the trial, a Cloud subscription is needed to keep making sales. Your data stays available either way.
- Subscriptions renew automatically each billing period until you cancel. Prices are shown before you pay. If we change the price, we'll email you at least 30 days in advance, and the change takes effect at your next renewal.
- Payments are taken by {{BILLING_PROVIDER}}. [If Paddle or Lemon Squeezy:] {{BILLING_PROVIDER}} is our authorised reseller and merchant of record. It sells the subscription to you, handles sales tax and VAT, and its buyer terms also apply to your purchase.
- If a payment fails, you have a grace period (currently 7 days) to update your payment details before sales are paused. Your data is not deleted because of a failed payment.
- You can cancel at any time from the link in your billing emails, or by contacting {{SUPPORT_EMAIL}}. Cancellation takes effect at the end of the period you've paid for. We don't give refunds for partial periods, except where the law requires.
- Subscriptions bought through the Apple App Store or Google Play are billed and cancelled through that store, under its rules.
6. Acceptable use
You must not:
- use VoraTill for anything illegal, including tax evasion, money laundering, or selling prohibited goods;
- try to access other shops' data, or test or break our security without written permission;
- overload, disrupt or reverse-engineer the service, except where the law allows;
- resell VoraTill or give access to anyone outside your business.
We may suspend a shop that breaks these rules or puts the service or other users at risk. Where we reasonably can, we'll warn you first.
7. Your data
- Your shop's data belongs to you: products, sales, customers, staff and settings. You give us permission to store and process it only to provide and support VoraTill.
- For personal data you store, such as your customers' and staff's details, you are the controller and we are your processor. Our Data Processing Agreement applies and is part of these terms.
- How we handle personal data about you, the account holder, is described in our Privacy Policy.
- You can export your data at any time from Settings → Cloud workspace.
- Data kept only on a device, such as a shop not using Cloud or local backups, is your responsibility to back up.
8. Ending the agreement
- You can stop using VoraTill and ask us to delete your shop at any time from Settings → Cloud workspace.
- Deletion is reversible for 30 days. After that, your cloud data is permanently deleted, apart from records we must keep by law (such as our own invoices to you).
- We may end these terms with 60 days' notice, or straight away if you seriously breach them. In either case you'll have at least 30 days to export your data, unless the law prevents it.
9. Service availability and changes
- We work to keep VoraTill available and secure, but we don't promise it will be uninterrupted or error-free. The app keeps selling offline and syncs when the connection returns.
- We improve VoraTill over time and may change or remove features. If we remove something important you are paying for, we'll tell you in advance.
10. Liability
- VoraTill is provided "as is" to the extent the law allows. We don't guarantee it suits your particular business or meets your country's tax, fiscal or receipt rules (see §4).
- We are not liable for indirect or consequential losses, such as lost profits, lost sales, lost data you could have backed up, or tax penalties and interest.
- Our total liability in any 12 months is limited to the amount you paid us in those 12 months, or 100 (in your billing currency) if that is higher.
- Nothing in these terms limits liability that can't legally be limited, such as for fraud, or for death or personal injury caused by negligence.
11. Changes to these terms
We may update these terms. For material changes we'll email the owner at least 30 days before they take effect. If you keep using VoraTill after that, the new terms apply. If you don't agree, you can cancel before then.
12. General
- These terms are governed by the laws of {{COUNTRY}}, and disputes go to {{COURTS}}. This doesn't take away mandatory protections you have under your own local law.
- If any part of these terms is unenforceable, the rest still applies.
- Contact: {{SUPPORT_EMAIL}}, {{COMPANY_ADDRESS}}.
